Beta Terms and Conditions

These Beta Terms and Conditions ("Beta Terms") govern access to and use of any pre-release, preview, early-access, or "beta" features or services ("Beta Services") made available by BaseDynamics Inc. ("BaseDynamics," "We," "Us") to a user ("You," "Your"). By accessing or using any Beta Services, You agree to be bound by these Beta Terms, in addition to Our Terms of Service (the "Terms") and Privacy Policy. Capitalized terms not defined here have the meaning given in the Terms. In the event of any conflict between these Beta Terms and the Terms, these Beta Terms will govern with respect to Your use of Beta Services.

1. Access to Beta Services

1.1 "Beta Services" means any pre-release, trial, preview, early-access, or similarly labeled feature or functionality of the Services that is made available for evaluation purposes, on an "as-is" and "as-available" basis.

1.2 Access to Beta Services is entirely voluntary and offered at BaseDynamics' sole discretion. We may limit eligibility, and may suspend, modify, or discontinue Your access to Beta Services at any time, with or without notice, and without liability.

1.3 Beta Services may be incomplete, may not function as intended, and may contain errors or bugs. We do not guarantee the availability, performance, accuracy, or continued provision of Beta Services, and are not obligated to provide maintenance or support for them.

1.4 We may offer Beta Services free of charge or for a fee, as specified at the time access is granted.

2. Permitted Use

You may use Beta Services solely for internal evaluation purposes. You agree not to:

1. use Beta Services for business-critical operations;
2. reverse engineer, decompile, or attempt to extract underlying source code;
3. attempt to gain unauthorized access to Beta Services or related systems;
4. submit content that infringes third-party rights or violates applicable law; or
5. crawl, scrape, or use automated means to extract data from Beta Services.

You will indemnify and hold BaseDynamics harmless from third-party claims arising out of Your violation of this Section.

3. Confidentiality

Information relating to Beta Services, including their existence, features, and performance, is BaseDynamics' Confidential Information. You agree not to disclose such information to third parties, except to those within Your organization with a need to know in connection with Your evaluation of the Beta Services.

4. Intellectual Property and Feedback

4.1 BaseDynamics retains all right, title, and interest in and to the Beta Services, including all related intellectual property rights, as further described in the Terms.

4.2 You may choose to provide suggestions, comments, or other feedback regarding Beta Services ("Feedback"). Feedback is provided voluntarily, and You grant BaseDynamics a perpetual, irrevocable, worldwide, royalty-free license to use, incorporate, and otherwise exploit such Feedback without restriction or obligation to You.

4.3 We may analyze Your use of Beta Services and use aggregated, anonymized usage data to improve Our products and services.

5. Data Privacy

You agree not to submit any sensitive personal information (e.g., health, financial account, or government ID data) to Beta Services unless expressly permitted. Each Party will Process any Personal Data transmitted through Beta Services in accordance with applicable data protection law and, where applicable, the DPA. You are responsible for the accuracy, legality, and completeness of any data You input into Beta Services.

6. Disclaimer of Warranties; Limitation of Liability

6.1 BETA SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

6.2 TO THE MAXIMUM EXTENT PERMITTED BY LAW, BASEDYNAMICS DISCLAIMS ALL LIABILITY ARISING FROM YOUR USE OF BETA SERVICES, AND YOU ASSUME ALL RISK ASSOCIATED WITH SUCH USE.

7. Modification and Termination

7.1 We may modify or update Beta Services at any time, with or without notice. Your continued use after such changes constitutes acceptance of them.

7.2 Beta Services will remain available until they are either generally released as part of the Services or discontinued. We may suspend, restrict, or terminate Your access to Beta Services at any time, with or without notice, and without liability.

8. Miscellaneous

8.1 These Beta Terms take precedence over the Terms solely with respect to Your access to and use of Beta Services.

8.2 These Beta Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles, consistent with the Terms.

8.3 We may update these Beta Terms from time to time. Continued use of Beta Services after such changes constitutes Your acceptance of the revised Beta Terms.

8.4 You may not assign Your rights or obligations under these Beta Terms without Our prior written consent.

8.5 Notices to BaseDynamics under these Beta Terms should be sent to legal@basedynamics.com or to BaseDynamics Inc., 16192 Coastal Hwy, Lewes, DE 19958.

8.6 Provisions that by their nature should survive termination (including Sections 3, 4, 6, and 8) will survive termination or expiry of these Beta Terms.
